Terms of Service

1. Scope and Introduction

These Terms of Service (the "Terms") legally govern the use of the Figet.ai application and any related agreement or legal relationship with FLOXEE s.r.o. (the "Owner" or "We"). Capitalized terms are defined in the dedicated section of this document.

Users must read this document carefully. By using Figet.ai, the User confirms they meet all legal requirements and agree to be bound by these Terms. There are no restrictions regarding whether Users are Consumers or Business Users.

2. Service Description & Client-Side Encryption

Figet.ai is a software application and Digital Product designed for forward-looking family budget planning, cash flow forecasting, envelope budgeting, debt and loan tracking, utilities and vehicle expense management, and financial health index calculations.

Client-Side Encryption: Sensitive financial values are encrypted directly on the User's end device using AES-256-GCM before transmission to cloud storage. The Owner possesses no decryption keys and cannot access unencrypted financial data. The User bears sole responsibility for securing their account, passwords, and backups.

3. Account Registration & 7-Day Free Trial

Users register via verified authentication providers (such as Google OAuth). Users are responsible for providing accurate details and safeguarding login credentials.

7-Day Free Trial: Every new account receives a 7-day full-featured Free Trial without requiring credit card details. After 7 days, no automatic billing occurs until the User actively selects a paid subscription plan.

4. Payments & Billing (Merchant of Record)

Our order process and payment processing are conducted by our authorized online reseller Paddle.com (Paddle Payments Ltd / Paddle.com Market Ltd), acting as Merchant of Record (MoR) for all orders. Paddle manages payment processing and international tax compliance (including VAT/Sales Tax).

Subscriptions are billed in advance on recurring monthly or annual cycles and automatically renew until cancelled by the User.

5. Cancellations, Digital Performance & Refunds

Users may cancel their subscription at any time within their account interface. Cancellation takes effect at the end of the currently prepaid billing period.

Given the provision of a 7-day free trial to thoroughly evaluate the service, the User expressly agrees to the immediate delivery of digital performance prior to the expiration of the statutory withdrawal period and acknowledges the waiver of their 14-day statutory right of withdrawal. 6. Content, Intellectual Property & Third-Party Trademarks

Unless otherwise stated or clearly evident, all content available within Figet.ai is owned or licensed by the Owner. The Owner holds and reserves all intellectual property rights (copyrights, trademarks, patents, know-how).

Third-Party Trademarks & Logos: All logos, brand names, financial institution trademarks, bank logos, utility companies, or subscription service marks displayed within the application interface or preview screens are the exclusive property of their respective owners. Their display serves solely for visual identification, clarity, and nominative fair use to describe items entered by the User. Neither Figet.ai nor the Owner is affiliated with, endorsed by, or sponsored by these third parties unless expressly stated.

Users may not copy, download, share, modify, translate, reverse engineer, publish, transmit, sell, sublicense, or create derivative works from Figet.ai without prior express written consent from the Owner.

Access to External Resources: Through Figet.ai, Users may access external resources provided by third parties. Users acknowledge that the Owner has no control over these resources and accepts no liability for their availability or content.

7. Referral Program & Reward Terms

The Owner offers a Referral Program within Figet.ai allowing existing Users to share a unique referral link with friends:

• Invited User Benefit: New users registering through a valid referral link receive an extended 14-day free trial (instead of the standard 7 days).
• Referrer Reward: Once the invited user activates their first paid subscription, the referring User receives 1 month of free Figet.ai subscription.
• Reward Limit: Each User may accumulate a maximum of 5 free months through the referral program.
• Anti-Abuse Rule: Rewards cannot be redeemed for cash, transferred to other accounts, or earned through fictitious account creation. The Owner reserves the right to revoke unearned bonuses or suspend accounts violating these rules.

8. Data Portability (Export), Account Deletion & Data Erasure

Data Portability & Export Rights: Users retain full ownership over their data and have the right to export and download a complete backup of their financial records, budgets, and overview data in an open, standardized format at any time in Figet.ai settings (No Vendor Lock-in).

Account Termination: Users have the right to permanently terminate and delete their user account at any time in application settings.

Consequences of Account Deletion:

• Immediate & Irreversible Data Erasure: Confirming account deletion permanently wipes all encrypted financial records, budgets, settings, and linked data from our servers. Due to client-side Zero-Knowledge encryption, deleted data is permanently unrecoverable. Users are advised to export their data prior to deletion.
• Automatic Subscription Cancellation: If the User has an active recurring subscription at the time of account deletion, the system automatically instructs Paddle.com to cancel the subscription immediately, guaranteeing no future charges will occur. Unused subscription periods are non-refundable upon voluntary account deletion.

9. Copyright Infringement Takedown (DMCA Notice)

If copyright holders or their authorized agents believe any content on Figet.ai infringes their copyrights, they may submit a formal notification pursuant to 17 U.S.C. § 512(c)(3) (DMCA) to info@floxee.io specifying:

• A physical or electronic signature of the authorized copyright agent;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the infringing material to be removed;
• Contact details of the complaining party (address, phone, email);
• A statement of good faith and accuracy under penalty of perjury.

10. Acceptable Use & Owner Protection

Figet.ai and the Service may only be used within the intended scope in compliance with these Terms and applicable laws. Users bear sole responsibility for ensuring their usage does not violate laws or third-party rights.

The Owner reserves the right to take appropriate protective measures (including suspending access, immediate termination, and reporting to law enforcement authorities) if the User:

• Violates laws, regulations, or these Terms;
• Infringes third-party rights or intellectual property;
• Substantially harms the Owner's legitimate interests;
• Engages in abusive, threatening, or unlawful behavior.

11. Liability, Disclaimer of Warranties & Indemnification

Indemnification: The User agrees to indemnify and hold harmless the Owner, its affiliates, directors, officers, agents, and employees against any third-party claim, damages, liability, or legal fees arising from the User's breach of these Terms, third-party rights, or statutory rules.

Limitation of Liability: The Owner is not liable for damages caused by force majeure, network failures, internet outages, cyberattacks, malware, or third-party service downtime. The Owner is not liable for indirect losses, loss of profits, revenue, business opportunities, anticipated savings, or goodwill.

Liability Cap: For all non-consumer entities, total liability is strictly capped at the total amount actually paid by the User to the Owner under the contract in the preceding 12 months (or the contract duration if shorter).

Analytical Software Notice: Figet.ai is a planning and calculation tool and does not provide certified financial, tax, accounting, or legal advice.

12. Jurisdiction-Specific Terms

US Users: The Service is provided strictly "AS IS" and "AS AVAILABLE". The Owner disclaims all implied warranties of merchantability and fitness for a particular purpose. Both parties waive jury trial rights and class action participation (Class Action Waiver). All claims must be resolved individually.

Australian Users: Nothing excludes statutory consumer guarantees under the Competition and Consumer Act 2010 (Cth). In maximum allowable extent, liability is limited to resupply of services.

UK & EU Consumers: Mandatory statutory rights under consumer protection legislation remain fully preserved.

French Consumers: Notice of amendments will be provided at least 1 month prior; French consumers may terminate without penalty within 4 months.

Swiss & Brazilian Consumers: Domestic mandatory consumer provisions apply.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles. If mandatory local consumer laws afford higher protection, those standards shall prevail.

Exclusive jurisdiction for commercial disputes lies with the competent courts at the Owner's registered seat (Brno, Czech Republic). EU Consumers may utilize the European ODR platform and ADR procedures.

14. General Provisions, Service Continuity & Survival

Amendments: The Owner reserves the right to amend these Terms. Users will receive notice at least 30 days prior. Continued use constitutes acceptance.

Service Interruptions: The Owner reserves the right to scheduled maintenance and will notify Users at least 2 days in advance when feasible.

No Resale: Users may not reproduce, duplicate, copy, or resell any portion of Figet.ai without express prior written consent.

Survival: Indemnification obligations (5 years), IP rights, disclaimers, and limitation of liability survive agreement termination indefinitely.

Severability: If any provision is deemed unenforceable, remaining provisions remain in full force.
